Changes in composition of the Board of Directors of JSC “Baiterek” NMH”

On December 30, 2013 the Decree of the First Vice-Minister of the Ministry of Industry and New Technologies of the Republic of Kazakhstan “On the composition of the Board of Directors of Joint Stock Company “Baiterek” National Management Holding” was issued.
1. Date of the resolution to change the composition of the issuer’s authority with an indication of the name of the issuer’s authority that made the decision: On December 30, 2013 the decision was made by the only shareholder of JSC “Baiterek” NMH”, the Ministry of Industry and New Technologies of the Republic of Kazakhstan (the Decree No. 464 of the First Vice-Minister of the Ministry of Industry and New Technologies of the Republic of Kazakhstan, A. Rau).
2. Name of the issuer’s authority, the composition of which has been changed, is the board of Directors of JSC “Baiterek” NMH”.
3. Essence of the changes in the issuer’s authority: 10 members of the JSC “Baiterek” NMH” have been elected for 3 (three) years in the following composition: 
Akhmetov Serik Negmetovich, the Prime Minister of the Republic of Kazakhstan;
Sagintayev Bakytzhan Abdirovich, the First Deputy Prime Minister of the Republic of Kazakhstan; 
Issekeshev Asset Orentayevich, the Deputy Prime Minister of the Republic of Kazakhstan – Minister of Industry and New Technologies of the Republic of Kazakhstan; 
Sultanov Bakhyt Turlykhanovich, the Deputy Prime Minister of the Republic of Kazakhstan – Minister of Finance of the Republic of Kazakhstan;
Dossayev Yerbolat Askarbekovich, the Minister of Economy and Budget Planning of the Republic of Kazakhstan;
Yergozhin Daulet Yedilovich, the Head of the Department of Social and Economic Monitoring of the Presidential Administration of the Republic of Kazakhstan;
Bishimbayev Kuandik Valikhanovich, the Chairman of the Board of Directors of Joint Stock Company “Baiterek” National Management Holding”;  
Klaus Mangold, the Independent Director; 
Thomas Mirov, the Independent Director; 
Philip Yeo, the Independent Director. 
People who have been excluded from the composition of the Board of Directors: 
Kelimbetov Kairat Nematovich;
Zhamishev Bolat Bidakhmetovich;
Jean Lemierre.
